By creating an account, purchasing or activating a subscription, accessing, or using the HAVEN Platform, you acknowledge that you have read and understood these Terms and agree to be bound by them.

HAVEN PLATFORM TERMS OF SERVICE
Effective Date: August 29, 2026
These Terms of Service (“Terms”) govern access to and use of the HAVEN Platform provided by Hazmat Software LLC (“Hazmat Software,” “we,” “us,” or “our”).
By creating an account, purchasing or activating a subscription, accessing, or using the HAVEN Platform, you agree to these Terms and acknowledge our Privacy Policy and any other policies or agreements applicable to your use of the Platform.
If you use the HAVEN Platform on behalf of an agency, department, company, educational institution, governmental entity, or other organization, you represent that you are authorized to accept these Terms on behalf of that organization.
1. The HAVEN Platform
The “HAVEN Platform” or “Platform” means HAVEN software and all associated websites, web applications, mobile applications, software tools, services, features, functionality, content, integrations, data services, subscription services, support services, and related products and services made available by Hazmat Software LLC.
The Platform includes currently available functionality as well as any additional, modified, enhanced, or future HAVEN software, features, tools, services, products, modules, or functionality that Hazmat Software LLC may make available.
These Terms apply to the HAVEN Platform generally unless separate or supplemental terms expressly apply to a particular product, feature, service, subscription, or use.
Not all Platform features or services are available to every user. Access may depend on account type, subscription level, license, organizational permissions, geographic location, technical requirements, or other applicable conditions.
2. Intended Use and User Responsibility
The HAVEN Platform provides software and technology designed to support professional, operational, administrative, educational, training, documentation, monitoring, reporting, reference, and related activities.
Certain Platform features may provide information, calculations, alerts, estimates, recommendations, references, monitoring information, automated outputs, or other decision-support functionality. Such functionality is supplemental and is intended to assist qualified users rather than replace appropriate knowledge, training, procedures, equipment, professional judgment, or decision-making.
Users are responsible for evaluating information provided through the Platform and determining whether and how that information should be used.
When the Platform is used in connection with emergency response, hazardous materials incidents, public safety operations, responder safety, health or medical monitoring, or other safety-critical activities, users remain responsible for complying with applicable laws, regulations, standards, training requirements, agency policies and procedures, incident command structures, manufacturer instructions, equipment indications and alarms, safety procedures, and professional or technical guidance.
The Platform is not a substitute for appropriate emergency response training, incident command, agency policies and procedures, Safety Data Sheets (SDSs), the Emergency Response Guidebook (ERG), equipment manufacturer instructions or warnings, medical evaluation or treatment, qualified technical specialists, or professional judgment.
Users should never disregard established safety procedures, equipment warnings, medical guidance, agency policy, or applicable laws or standards solely because of information presented through the Platform.
3. Eligibility and Accounts
You must be legally capable of entering into a binding agreement to create an account or use the Platform.
You are responsible for providing accurate account information and maintaining the confidentiality and security of your login credentials.
You are responsible for activity conducted through your account and must promptly notify Hazmat Software LLC if you believe your account has been accessed or used without authorization.
Accounts may not be shared except where expressly permitted by the applicable subscription, license, or organizational agreement.
4. Individual and Organizational Accounts
The Platform may be offered to individual users as well as agencies, departments, businesses, educational institutions, governmental entities, and other organizations.
If you access the Platform through an organization, your use may be subject to permissions, policies, subscriptions, licenses, or agreements established by that organization.
Organizational administrators may have the ability to create or remove accounts, assign permissions, manage Platform access, administer subscriptions, and access or manage certain data associated with users operating under their organization.
If you accept these Terms on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms and any other applicable agreement.
5. License and Permitted Use
Subject to compliance with these Terms and any applicable subscription or license requirements, Hazmat Software LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the HAVEN Platform for its intended purposes.
You may not:

copy, reproduce, distribute, sell, lease, sublicense, or commercially exploit the Platform except as expressly authorized;

reverse engineer, decompile, disassemble, or attempt to discover the source code or underlying structure of the Platform except where such restrictions are prohibited by law;

use automated methods to scrape, extract, harvest, or collect Platform information except as expressly authorized;
6. User Content and Customer Data
Users and organizations may submit, create, upload, enter, store, transmit, process, or generate information, documents, images, files, records, forms, training materials, operational information, or other content through the Platform (“User Content”).
You retain ownership of User Content that you lawfully own.
You grant Hazmat Software LLC the rights reasonably necessary to host, store, process, reproduce, transmit, display, analyze, and otherwise use User Content for purposes of providing, maintaining, securing, supporting, and improving the Platform and fulfilling our obligations to you.
You are responsible for ensuring that you have the necessary ownership, authority, permissions, consents, and lawful basis to submit and process User Content through the Platform.
Our collection, use, storage, and processing of personal information is further governed by our Privacy Policy and, where applicable, our Data Processing Addendum.
7. Sensitive and Regulated Information
Certain Platform functionality may permit or involve information that is sensitive, confidential, regulated, or otherwise subject to special legal or organizational requirements.
Users and organizations are responsible for determining whether the information they submit to the Platform may lawfully be collected, stored, processed, transmitted, or otherwise used through the Platform.
Unless expressly authorized by Hazmat Software LLC through the applicable subscription, product documentation, written agreement, or other terms, users should not submit information subject to specialized legal or regulatory requirements where the Platform has not been designated for that use.
Authorization to use one Platform feature for a particular category of sensitive or regulated information does not constitute authorization to submit that information through other Platform features or services.
Organizations remain responsible for establishing appropriate policies, permissions, access controls, retention requirements, and lawful bases for their use of sensitive or regulated information.
8. Health, Medical, and Safety-Related Information
Certain current or future Platform functionality may assist users with collecting, documenting, organizing, displaying, monitoring, or evaluating health, medical, responder rehabilitation, exposure, or other safety-related information.
Unless expressly stated otherwise in a separate written agreement, the HAVEN Platform is not a healthcare provider, medical device, emergency medical service, or substitute for evaluation, diagnosis, treatment, monitoring, or decision-making by appropriately qualified medical personnel.
Information displayed, calculated, recorded, or generated by the Platform must not be used as the sole basis for determining an individual's medical condition, fitness for duty, ability to return to operations, need for treatment, or other clinical or medical decision.
Users and organizations remain responsible for following applicable medical protocols, agency procedures, laws, regulations, standards, and the direction of appropriately qualified medical personnel.
9. Information, Calculations, Monitoring, and Platform Outputs
Information generated, displayed, calculated, summarized, analyzed, transmitted, estimated, or otherwise provided through the Platform may depend upon information supplied by users, organizations, third parties, external data sources, connected systems, sensors, devices, software calculations, automated processes, or other sources.
Platform outputs may be affected by inaccurate or incomplete inputs, delayed information, connectivity issues, device or sensor errors, synchronization issues, third-party system failures, software errors, or other circumstances.
Hazmat Software LLC does not guarantee that Platform information, calculations, alerts, estimates, or outputs will be complete, error-free, current, or appropriate for every circumstance.
Users should independently verify information whenever circumstances, professional standards, agency procedures, or the potential consequences of a decision warrant verification.
Platform information or outputs should not be treated as the sole basis for decisions involving life safety, health, emergency operations, regulatory compliance, financial matters, legal obligations, or other consequential matters.
10. Training, Educational, and Reference Information
The Platform may provide or facilitate access to training materials, educational content, reference information, assessments, documentation, certificates, records, or other instructional functionality.
Unless expressly stated otherwise, use or completion of Platform content does not by itself constitute certification, licensure, accreditation, regulatory compliance, continuing education credit, or qualification to perform any particular task.
Users and organizations are responsible for determining whether training or educational content satisfies applicable agency, employer, certification, regulatory, licensing, continuing education, or professional requirements.
11. Administrative, Financial, and Reporting Functions
The Platform may provide functionality that assists users with administrative records, calculations, documentation, reporting, cost information, estimates, or other business or organizational processes.
Such functionality is provided as an administrative tool and does not constitute accounting, tax, legal, insurance, reimbursement, or financial advice.
Hazmat Software LLC does not guarantee that reports, calculations, records, estimates, or documentation generated through the Platform will satisfy the requirements of any governmental entity, insurer, responsible party, employer, court, regulator, grant program, reimbursement program, or other third party.
Users and organizations are responsible for reviewing and verifying such information before relying upon or submitting it.
12. Artificial Intelligence and Automated Features
The Platform may include artificial intelligence, machine learning, automated analysis, recommendations, generated content, or similar functionality.
Outputs produced through automated or artificial intelligence-enabled functionality may contain errors, omissions, incomplete information, or inaccurate conclusions.
Users are responsible for reviewing and evaluating such outputs before relying upon them.
Artificial intelligence or automated outputs should not be used as the sole basis for decisions involving life safety, health, emergency response, regulatory compliance, legal obligations, financial matters, or other consequential decisions.
13. Third-Party Services, Integrations, and Data
The Platform may connect to, incorporate, display, transmit information to, receive information from, or otherwise interact with third-party software, websites, databases, devices, sensors, systems, services, or data providers.
Hazmat Software LLC does not control and is not responsible for the availability, accuracy, performance, security, policies, practices, or continued operation of third-party products or services.
Third-party products and services may be governed by separate terms, licenses, agreements, or privacy policies.
Hazmat Software LLC may modify or discontinue an integration if the applicable third-party service changes, becomes unavailable, creates security or operational concerns, or for other reasonable business or technical reasons.
14. Platform Availability, Updates, and Changes
We may periodically update, improve, modify, add, remove, replace, suspend, or discontinue Platform features or functionality.
We do not guarantee that any particular feature, service, integration, interface, or functionality will remain available indefinitely or operate without interruption.
We may perform maintenance or experience interruptions resulting from technical problems, third-party services, internet or telecommunications failures, security events, maintenance, upgrades, circumstances beyond our reasonable control, or other causes.
15. Beta, Preview, and Experimental Features
Hazmat Software LLC may make beta, preview, experimental, developmental, or pre-release features available to certain users.
Such features may be incomplete, contain errors, change substantially, or be discontinued without notice.
Unless otherwise stated, beta, preview, and experimental features are provided for evaluation and should not be relied upon for safety-critical, mission-critical, medical, financial, or regulatory functions.
16. Intellectual Property
The HAVEN Platform, including its software, source and object code, design, interfaces, workflows, graphics, logos, trademarks, documentation, databases, content, and other proprietary materials, is owned by or licensed to Hazmat Software LLC and is protected by applicable intellectual property laws.
Except for the limited rights expressly granted under these Terms, no ownership interest or intellectual property rights in the Platform are transferred to users or organizations.
HAVEN, associated logos, product names, and related marks are trademarks or proprietary identifiers of Hazmat Software LLC or their respective owners and may not be used without authorization.
17. Feedback
If you voluntarily provide suggestions, ideas, recommendations, feature requests, corrections, or other feedback regarding the Platform, you grant Hazmat Software LLC the right to use that feedback without restriction or obligation to compensate you.
Providing feedback does not transfer ownership of your User Content or confidential organizational information.
18. Subscriptions, Billing, Trials, and Cancellation
Certain Platform features require a paid subscription, license, or other purchase.
Pricing, billing periods, renewal terms, cancellation rights, refunds, and other payment terms are governed by the applicable order, subscription terms, organizational agreement, and Refund and Cancellation Policy.
Hazmat Software LLC may offer free trials, promotional access, limited accounts, or other temporary access subject to additional conditions or limitations.
Failure to pay amounts when due may result in suspension or termination of access to paid Platform features.
19. Suspension and Termination
Hazmat Software LLC may suspend, restrict, or terminate access to the Platform when reasonably necessary to:

protect the Platform, users, organizations, Hazmat Software LLC, or third parties;
Users may discontinue use of the Platform subject to applicable subscription, cancellation, payment, data-retention, and contractual obligations.
Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitations of liability, governing law, and other applicable provisions, will survive termination.
20. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE HAVEN PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
HAZMAT SOFTWARE LLC DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE EXTENT PERMITTED BY LAW.
HAZMAT SOFTWARE LLC DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR SUITABLE FOR EVERY USER'S PARTICULAR OPERATIONAL, PROFESSIONAL, ADMINISTRATIVE, TRAINING, REGULATORY, MEDICAL, FINANCIAL, OR OTHER REQUIREMENTS.
USERS AND ORGANIZATIONS ARE RESPONSIBLE FOR MAINTAINING APPROPRIATE PROCEDURES, TRAINING, SYSTEMS, EQUIPMENT, RECORDS, BACKUPS, AND ALTERNATIVE METHODS NECESSARY FOR THEIR OPERATIONS.
21. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HAZMAT SOFTWARE LLC AND ITS MEMBERS, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO ACCESS TO, USE OF, INABILITY TO USE, OR RELIANCE UPON THE HAVEN PLATFORM.
THIS INCLUDES, WITHOUT LIMITATION, LOSSES OR DAMAGES ARISING FROM INACCURATE OR INCOMPLETE INFORMATION, USER-ENTERED DATA, SOFTWARE ERRORS, INTERRUPTIONS, CONNECTIVITY FAILURES, THIRD-PARTY SERVICES, DEVICE OR SENSOR FAILURES, DELAYED INFORMATION, LOSS OR CORRUPTION OF DATA, PLATFORM OUTPUTS, OR DECISIONS MADE IN RELIANCE UPON INFORMATION PROVIDED THROUGH THE PLATFORM.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF HAZMAT SOFTWARE LLC ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID TO HAZMAT SOFTWARE LLC FOR THE APPLICABLE PLATFORM SERVICE DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law.
22. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Hazmat Software LLC and its members, owners, officers, employees, contractors, affiliates, licensors, and service providers from claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
For organizational accounts, indemnification obligations may be modified or superseded by a separate written agreement with Hazmat Software LLC.
23. Governing Law and Venue
These Terms, their enforcement, and any dispute, claim, or controversy arising out of or relating to these Terms or use of the HAVEN Platform will be governed by and construed in accordance with the laws of the State of New York, without regard to New York's principles of conflicts of law, except to the extent applicable law requires otherwise.
Subject to any applicable law that provides otherwise, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of New York for disputes arising out of or relating to these Terms or the HAVEN Platform.
Nothing in this section prevents Hazmat Software LLC from seeking temporary, preliminary, or other equitable relief in any court of competent jurisdiction when necessary to protect its intellectual property, confidential information, security, systems, or other legal rights.
24. Changes to These Terms
Hazmat Software LLC may update these Terms periodically to reflect changes to the HAVEN Platform, our business practices, legal or regulatory requirements, security considerations, or other circumstances.
When material changes are made, we may provide notice through the Platform, by email, on our website, or through another reasonable method.
The updated Terms will identify their effective date.
Continued use of the Platform after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.
If applicable law requires affirmative consent to a material change, we will obtain such consent before the change becomes binding.
25. Related Policies and Agreements

any applicable subscription, licensing, organizational, agency, enterprise, or other written agreement
If a separate written agreement between Hazmat Software LLC and an organization conflicts with these Terms, the separate written agreement controls to the extent of the conflict.
26. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law or modified to the minimum extent necessary to make it enforceable.
The remaining provisions will remain in full force and effect.
27. No Waiver
Failure by Hazmat Software LLC to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.
Any waiver must be expressly made by Hazmat Software LLC and will apply only to the specific circumstances for which it was provided.
28. Entire Agreement
These Terms, together with the Privacy Policy and any other applicable policies, orders, subscription terms, Data Processing Addendum, organizational agreements, or written agreements incorporated by reference, constitute the agreement governing use of the HAVEN Platform.
A separate written agreement executed between Hazmat Software LLC and a user or organization may supplement or supersede portions of these Terms as expressly provided in that agreement.
